Our History

Lion Capital is a consumer-focused investor passionate about investing in brands about which people are passionate. True brands offer consumers a differentiated, desirable experience for which they are prepared to pay a premium, giving those brands a superior position from which to drive their business activities. We embrace the power of brands, seek them out in our personal lives and have developed a unique understanding of how to translate the potential of a true brand into growth and superior financial performance. This merging of our professional and personal passions has formed the heart of an investment strategy through which we have owned over 100 unique consumer brands. We are a global business, with a focus on Europe and North America. Offices in London and Los Angeles keep us close to these markets and position us to capture attractive investment opportunities that emerge.

 

Our focused strategy of investing only in consumer businesses gives us insight, credibility and advantages. We have spent the balance of our professional careers focused on this industry, and as a result, we speak the same language as consumer business owners and managers, giving us credibility with these key constituents and access to an extensive network on their terms. We further draw on experiences with our current and past companies to operate with the knowledge and vision of an industrial player. We see potential and develop strategic angles for businesses that others don’t, and use our credibility, insight and small team of decision-makers to move with speed and conviction in pursuit of new opportunities.

Environmental, Social and Governance (“ESG”) Policy

Vision & Guiding Principles

 

Lion Capital seeks to achieve superior long-term returns on our invested capital through a specialised strategy focused on driving growth in strong consumer brands. Strong brands benefit from a unique level of trust with consumers, in some cases earned over several decades of operations. Their relationships with customers extend from a global to a personal level. We believe this trust is a key competitive advantage and reinforcing it through the effective management of ESG-related issues is critical to the long-term success of such businesses. We also acknowledge that if ESG-related issues are not managed appropriately they can quickly destroy customer trust and erode brand value, and therefore it is important that we mitigate these risks.

 

While the pursuit of ethical practices contributes to the success of any business, it is critical that leading brands, which are the focus of Lion Capital’s investment strategy, strive for the highest standards in ESG-related matters and that, as an owner and fiduciary, we capitalise on the opportunities available to each of our companies through active, engaged management of these activities. Ultimately, taking a leadership role in the pursuit of ESG issues enhances our companies’ abilities to create sustainable long-term value and is in keeping with our larger responsibilities to stakeholders and customers as good business owners and operators.

 

Lion Capital is guided in its pursuit of ESG-related activities by three key principles:

 

Effective management of ESG issues has real value: Effectively capitalising on the opportunities and managing the risks related to ESG issues translates into tangible long-term value within our companies and for our investors

 

Philosophy of engagement: Lion Capital seeks to actively engage our companies and potential investee companies on ESG-related activities from our early interactions, and at the most senior levels, to find and capitalise on opportunities for improvement

 

Remains a perpetual process: The opportunities and risks related to ESG activities for each business continuously evolve and we must adapt our approach and processes to meet the demands of a changing landscape

 

In pursuit of a best-in-class approach to our ESG activities, Lion Capital is a signatory of the six UN supported Principles for Responsible Investment. In developing our ESG strategy, policy and practices, Lion Capital has also drawn on a number of related resources, including:

 

  • UN Global Compact’s ten principles;
     
  • Private Equity Growth Capital Council (PEGCC) Responsible Investment Guidelines; and
     
  • ESG Disclosure Framework, published in 2013.
     

 

ESG Opportunities and Risks for Consumer Businesses

 

Lion Capital seeks to identify and manage ESG-related opportunities and risks across a wide array of functions and operations within our businesses. Broadly speaking these can be categorised as follows:

 

Environment: We seek to work with portfolio companies to reduce the environmental impact of producing and delivering products and services and to ensure their sustainability across the value chain. We realise that pursuing a more resource efficient and continuous improvement culture can deliver material financial and reputational benefits to our businesses.

 

Ethical Business Practices: We expect each portfolio company to operate their respective business with honesty and integrity and in compliance with regulatory standards with respect to their internal practices, those external to the business and throughout their supply chain.

 

Employees: We believe in maximising the potential of our employees to make a valued contribution to business performance. We encourage companies to develop and invest in their employees to both retain current and attract future talent. We recognise that a strong and healthy internal culture is the foundation on which meaningful achievements are built.

 

Community: We are keen to ensure that our operations and portfolio companies are making a positive contribution to the communities in which we operate. We want to encourage our companies to be innovative in making a positive investment in their communities.

 

Products: We believe that consideration of ESG issues empowers our portfolio companies to better develop new products that meet customers’ and stakeholders’ evolving demands and expectations, and ultimately contributes to the value of our brands. Supply chain management with attention to ESG-related issues is an important consideration of our work in this area.

 

Framework for managing ESG-related opportunities and risks

 

Lion Capital seeks to identify and manage ESG-related opportunities and risks across our various investment activities. Through the development of our internal diligence and investment processes and active engagement with our portfolio companies we seek to integrate ESG considerations into our own policies and practices and the strategy and operations of our portfolio companies. These include, but are not limited to:
 

  • Identifying and assessing potential ESG-related opportunities and risks during our due diligence, acquisition and investment activities
     
  • Developing ESG initiatives to realise the opportunities and address the risks that we identify
     
  • Monitoring and reporting on the implementation and effectiveness of ESG initiatives on an ongoing basis
     

 

Legal Compliance: We expect all of our portfolio companies and employees to comply with ESG-related legislation at a local, national and international level, including but not limited to applicable environmental, health and safety, anti-bribery and corruption and human rights legislation.

 

Pre-Acquisition: Before making an investment, we aim to conduct an appropriate level of ESG-focused due diligence in order to assess the potential financial and reputational risks and opportunities related to ESG issues. Our pre-acquisition work may include high level screening, business profiling and deep due diligence. External specialist advisors and other resources will be used as appropriate.

 

Ownership: We seek to actively engage with the senior management and ESG-designated individuals of our companies to identify, monitor and effectively manage ESG opportunities and risks. We expect our companies to exercise an appropriate level of governance and accountability over the management of environmental and social issues.

 

Disclosure & Reporting: We encourage open and transparent reporting of ESG performance across our companies. At a minimum, we expect periodic board-level updates on the management of key material ESG opportunities and risks. Furthermore:

  • Lion Capital seeks to monitor and review compliance with material ESG criteria by its portfolio companies and the firm on a regular basis.
     
  • Lion Capital employees are encouraged to report any material ESG-related issues either within Lion Capital or our companies directly to the Compliance Officer or the Managing Partner.
     
  • Lion Capital companies are encouraged to report to Lion on ESG performance to identify both opportunities and risks on an ongoing basis.
     

 

Exit: We seek to support our portfolio companies in contemplating potential material ESG issues related to their operations ahead of our anticipated exits of our investments.

 

In order to fully discharge Lion Capital’s responsibilities for managing ESG opportunities and risks, the Managing Partner has designated Julia van Tuyll, Director of Investor Relations, with primary responsibility for the firm’s ESG program. Ms. van Tuyll is actively supported in this role by the senior Partners of Lion Capital’s Investment Committee, Chief Operating Officer, Compliance Officer and other Partners and Directors of Lion Capital.

 

Lion Capital will ensure that this policy is reviewed and updated, as appropriate, at least annually.

LYNDON LEA

Lyndon Lea is a Partner and member of the Investment Committee of Lion Capital and serves as its Managing Partner. Prior to founding Lion Capital, Lyndon was a Partner of Hicks, Muse, Tate & Furst where he co-founded its European operations in 1998. Prior to joining Hicks Muse, Lyndon served at Glenisla, the European affiliate of Kohlberg Kravis Roberts & Co. He was previously an investment banker.

Lyndon is a strong supporter of Not For Sale (“NFS”), a charity dedicated to the abolition of modern day slavery. He currently sits on the Board of NFS. With a personal commitment from Lyndon, NFS recently built a children’s home in Romania that accommodates approximately 100 children reclaimed from trafficking.

Lyndon grew up between the UK, Southern Africa and Canada. He received his BA from the University of Western Ontario in Canada.

Robert Darwent is a Partner and member of the Investment Committee of Lion Capital. Prior to founding Lion Capital, Robert served with Hicks, Muse, Tate & Furst for six years. Prior to joining Hicks Muse, he was employed in the private equity group of Morgan Stanley in London. Robert received his BA and MA from Cambridge University.

Javier Ferrán is a Partner and member of the Investment Committee of Lion Capital. Prior to joining Lion Capital, Javier completed a 20-year career with the Bacardi Group serving in a variety of key executive positions, including a tenure as the President and Chief Executive Officer of Bacardi Limited. Javier received his BA from the University of Barcelona and a BA and MBA from ESADE, Barcelona.

James Cocker is a Partner and member of the Investment Committee of Lion Capital. Prior to joining Lion Capital, he was employed by McKinsey & Company in London where he focused on the consumer and retail sectors. James received his BA and MA from Oxford University.

Jeff Chang is a Partner/Managing Director of Lion Capital. Prior to joining Lion Capital, Jeff was employed by AEA Investors in New York where he focused on industrial and consumer investments. Prior to this, Jeff worked with Bain & Company in San Francisco and Dresdner Kleinwort Wasserstein, in their Technology M&A Group, also in San Francisco. Jeff received his BS from the University of California, Berkeley.

Dominik Halstenberg is a Partner/Managing Director of Lion Capital. Prior to joining Lion Capital, Dominik was employed by DLJ Merchant Banking in London. Prior to this, he worked with McKinsey & Company in Boston and Goldman Sachs in New York, where he served in the Communications, Media and Entertainment Group. Dominik received his BA and MA from Yale University and his MBA from Harvard University, where he was a Baker Scholar.

Rory O’Connor is a Partner/Managing Director of Lion Capital. Prior to joining Lion Capital, Rory was employed by Guggenheim Partners in Los Angeles. He previously worked with Charterhouse Group International in New York where he focused on the consumer and industrial sectors and in marketing with Colgate-Palmolive in New York as well as the H.J. Heinz Company in Pittsburgh. Rory received his BA from Skidmore College and his MBA from Columbia Business School.

Simon Brown is Lion Capital's Chief Operating Officer.  Prior to joining Lion Capital, Simon was Chief Operating Officer and Chief Financial Officer at private equity firms Equistone and Cognetas. Previously Simon was Chief Operating Officer of Lord Rothschild’s family office and Finance Director of Lawrence Graham.  Simon received his BA in French and Spanish from Exeter University, he is also a member of the Institute of Chartered Accountants.

Sherif Guirgis is a Director of Lion Capital. Prior to joining Lion Capital, Sherif was employed by Apollo Global Management where he focused on retail and consumer investments. Prior to this, Sherif worked with Credit Suisse in Los Angeles, in their Financial Sponsors Group. Sherif received his BA from the University of Western Ontario.

Jeremy Muras is Digital Director of Lion Capital. Prior to joining Lion Capital, Jeremy spent eight years at Burberry, most recently as Vice President of Digital Commerce. Prior to this, he led the digital team at Agent Provocateur. Jeremy received his BA (Hon) in Historical Studies from Portsmouth University.

Julia van Tuyll is Director of Investor Relations at Lion Capital. Prior to joining Lion Capital, Julia  was employed by Vision Capital where she was involved with the implementation of the fund raising programme including raising capital from new and existing relationships. Julia graduated from the University of Newcastle upon Tyne where she obtained an Honours Degree in International Politics.

Jan Woods is a Director of Lion Capital. Prior to joining Lion Capital, Jan completed a 20-year corporate career with IBM and PepsiCo. She served in a variety of international HR executive positions outside of the U.K. Most recently, Jan was the Group Human Resources Director for a Lion Capital-owned portfolio company. Jan received a BA in Theology from Hull University and an MBA from Portsmouth University.

Sam Gorman is a Principal of Lion Capital. Prior to joining Lion Capital, Sam worked at Warburg Pincus in New York where he served on their Technology, Media & Telecom team. Before this, he worked at Gleacher & Company in their M&A group. Sam received his A.B. in Economics from Princeton University.

Graham Tester is Head of Finance at Lion Capital. Prior to being appointed to this role, Graham served for three years as Lion Capital’s Financial Controller. Before joining Lion Capital, Graham spent five years in Montagu Private Equity’s finance and investor relations teams and four years with Northern Trust in Guernsey where he managed the administration of BC Partners’ funds. Graham is a Fellow of the Association of Chartered Certified Accountants.

Matthew Wilson is a Principal of Lion Capital. Prior to joining Lion Capital, Matthew worked at Morgan Stanley in London where he served in their private equity group, as well as the U.K. investment banking team. Matthew received his Masters of Physics degree from Oxford University.

Augusto Cosulich is an Associate of Lion Capital. Prior to joining Lion Capital, Augusto worked for private equity firm Terra Firma in London, where he focused on investments and portfolio businesses in a range of sectors. Prior to this, he was employed by Rothschild in Milan, where he worked in their M&A team. Augusto received his BA in Business and Management from the University of Exeter.

Daphne Dovermann is an Associate of Lion Capital. Prior to joining Lion Capital, Daphne worked for Terra Firma Capital Partners, a London-based private equity firm, where she focused on investment opportunities across a range of sectors. Daphne holds a BSc in International Business from Maastricht University and received her MSc in Finance and Private Equity from the London School of Economics and Political Science.

Adam Epstein is an Associate of Lion Capital. Prior to joining Lion Capital, Adam was employed by Oaktree Capital Management in New York, where he served in the Mezzanine Finance Group. Prior to this, Adam worked with Berenson & Company, a boutique investment bank based in New York. Adam received his BS in Applied Mathematics-Economics from Brown University and his MBA from Stanford's Graduate School of Business.

Miguel Hollander-Ho is an Associate of Lion Capital. Prior to joining Lion Capital, Miguel worked for Shamrock Capital Advisors, a private equity firm in Los Angeles, where he focused on investments and portfolio company management in the communications, media, and entertainment sectors. Prior to this, Miguel worked at RBC Capital Markets in New York City in the Communications, Media & Entertainment group. Miguel received his BS in Applied Economics and Management with honours from Cornell University.

Prior to joining Lion Capital, Helena worked for financial technology start-up MarketInvoice in London, where she focused on corporate strategy and analytics. Prior to this, Helena was employed by Morgan Stanley in New York, where she served in the Financial Institutions Group. Helena received her BA in Economics and East Asian Studies with honours from Yale University.

Prior to this, she worked with Citigroup in New York, where she served in the Media and Telecommunications group. Claire received her BS in Finance and Economics from the University of Wisconsin and her MBA from Harvard Business School, where she was a Baker Scholar.

Prior to joining Lion Capital, Austin was employed by Lazard Frères & Co in New York, where he served in the Consumer Retail Mergers & Acquisitions group.
